1. Agreement and scope
These Terms govern DesignSpark LLC websites, product landing pages, documentation, waitlists, community or support areas, and related online interfaces for all current and future DesignSpark products. Use of installed software, SaaS functionality, paid entitlements, and licensed features is additionally governed by the DesignSpark Unified License Agreement ("ULA"). If a conflict concerns a licensed product, the ULA controls; a clearly identified product-specific addendum controls only its stated subject.
2. Eligibility and accounts
Visitors must be at least 16. Users aged 16 or 17 must have permission and supervision from a parent or legal guardian. Paid purchases and organization account administration require an adult of at least 18, unless a specific lawful guardian-managed arrangement is offered. A DesignSpark account may be shared across products for authentication, but access to paid functions depends on product-specific entitlements. Users must maintain accurate information and protect their credentials.
3. Permitted website and business use
You may access the websites to evaluate, purchase, support, document, and legitimately use DesignSpark products, including for professional and commercial work. You may not reproduce, resell, scrape, or commercially exploit DesignSpark website content or branding independently of an authorized license. Commercial use of properly licensed software and customer-generated work product is expressly permitted.
4. Orders, Paddle, and subscriptions
Where checkout identifies Paddle as merchant of record, Paddle is the seller for payment processing, invoicing, tax collection, and applicable merchant-of-record responsibilities. The product order, displayed checkout terms, and ULA govern license scope and product access. Price, renewal cadence, trial conversion, cancellation method, and applicable refund rights must be presented clearly before checkout. DesignSpark may not promise refunds or override mandatory consumer rights inconsistent with the merchant’s checkout terms or applicable law.
5. Customer content and ownership
Users retain all rights they have in their drawings, files, project data, exports, and other work product. They grant DesignSpark a limited, nonexclusive license only to host, process, transmit, back up, display, and otherwise use submitted content as needed to provide the requested Services and support, consistent with the Privacy Policy. This license ends when no longer needed for those purposes, subject to lawful retention. DesignSpark does not acquire ownership of customer work product. Feedback voluntarily provided about DesignSpark products may be used to improve products without obligation, provided confidential customer content is not treated as unrestricted feedback.
6. Intellectual property
DesignSpark and its licensors retain rights in software, trademarks, documentation, interface designs, and website content. No ownership rights transfer except those expressly granted under the ULA or another signed agreement.
7. Acceptable use
Do not misuse accounts, bypass licensing or security controls, distribute malware, violate others’ rights, scrape private data, interfere with service availability, reverse engineer except where nonwaivable law permits, or use Services unlawfully. Do not upload content you lack rights to process.
8. AI and professional use
Some products contain local AI or optional network lookups. The product interface and Privacy Policy explain material data transfers. Automated suggestions, code interpretations, estimates, photometric or lighting calculations, and compliance-related outputs are aids, not substitutes for independent professional judgment, field verification, applicable codes, or licensed professional review.
9. Third-party services and links
Third-party links and services are governed by their own terms and privacy notices. DesignSpark is not responsible for independent third-party offerings except as required by law.
10. Availability, changes, and termination
We may maintain, modify, or discontinue website features, subject to mandatory law and applicable paid-service commitments. We may restrict access for security threats or material violations, with notice and opportunity to remedy where reasonably practicable. Changes to these Terms apply prospectively with notice as required; continued use after an effective change may indicate acceptance only where legally valid.
11. Disclaimers and liability
To the maximum extent allowed by applicable law, websites and free informational content are provided as available without warranties beyond those that cannot lawfully be excluded. Neither these Terms nor the ULA excludes liability that applicable law prohibits limiting, including liability for fraud, willful misconduct, or statutory consumer remedies. Any applicable liability cap for licensed products is stated in the ULA.
12. Disputes and governing law
California law governs, excluding conflict-of-law principles, subject to mandatory protections of a user’s home jurisdiction. Parties will first attempt good-faith informal resolution by written notice to support@designsparkllc.com and 30 days to respond. Unless the parties separately agree to arbitration after a dispute arises, disputes may be brought in courts with competent jurisdiction in California, subject to mandatory consumer venue and small-claims rights. Nothing requires arbitration or waives nonwaivable rights.
13. Contact and order of precedence
DesignSpark LLC, support@designsparkllc.com; 10326 Larwin Ave, Chatsworth, CA 91311. Order of precedence for product use: mandatory law; applicable signed enterprise agreement; clearly identified product addendum; ULA; these Terms. The Privacy Policy describes data practices rather than overriding contractual or statutory rights.
